Article I. Acceptance of This Agreement

This Terms of Service Agreement ("Agreement") is a legally binding agreement between FactFlow, LLC, a Delaware limited liability company ("FactFlow," "Company," "we," "our," or "us"), and each individual or entity accessing or using the Services ("User," "you," or "your").

This Agreement governs all FactFlow products and services, including the website, browser extensions, mobile applications, APIs, enterprise offerings, subscription services, beta features, software updates, and related services (collectively, the "Services").

This Agreement incorporates by reference the FactFlow Privacy Policy and any additional policies, subscription terms, or guidelines expressly identified as governing use of the Services. In the event of a conflict, any service-specific terms control solely for that service.

By using the Services, creating an Account, installing software, or purchasing a Subscription, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If acting for an organization, you represent that you have authority to bind that organization.

Article II. Definitions

Account

A registered user profile maintained by FactFlow.

Applicable Law

All applicable federal, state, local, and foreign laws, regulations, ordinances, and legally binding governmental requirements.

API

An application programming interface made available by FactFlow.

Browser Tab Audio

Audio transmitted from a browser tab expressly authorized by the User. It excludes microphone audio, device-wide audio, telephone conversations, unrelated application audio, and ambient sounds.

Claim

An objectively verifiable factual assertion capable of comparison against authoritative governmental, institutional, or established research records; excludes opinions, satire, rhetoric, predictions, campaign promises, and subjective commentary.

Feedback

Suggestions, enhancement requests, comments, ideas, or bug reports voluntarily submitted by Users.

Institutional Sources

Governmental agencies, courts, legislatures, election authorities, public statistical agencies, academic institutions, established research organizations, international organizations, and similar authoritative entities.

Intellectual Property Rights

All copyrights, patents, trademarks, trade secrets, database rights, and other proprietary rights recognized by law.

Mobile Device Audio

Audio captured through a mobile device microphone that a User has expressly authorized through operating system permission controls for the purpose of live verification of ambient broadcasts. Mobile Device Audio is processed solely for Claim identification and verification and is not permanently stored unless the User affirmatively elects to save a Verification Session.

Services

All software, websites, browser extensions, applications, APIs, subscriptions, enterprise offerings, and related products operated by FactFlow.

Source Record

An official governmental, institutional, academic, established research, or other authoritative publication, dataset, filing, report, or similar record consulted during verification.

Subscription

A paid plan providing access to premium Services.

Subscription Term

The period during which a Subscription remains active.

User Content

Information submitted by Users, including Claims, feedback, support requests, and preferences.

Verification Result

The informational output generated after comparison of a Claim against available Source Records. Verification Results may include classifications such as True, False, Misleading, Unverified, or other classifications introduced by FactFlow from time to time.

Verification Services

The functionality used to identify Claims, compare them against Source Records, and present Verification Results.

Article III. Eligibility

Users represent that they have legal capacity, will provide accurate information, comply with Applicable Law, and will not violate the rights of others. The Services are not directed to children under 13, or any higher minimum age required by Applicable Law. Users may not access the Services if prohibited under applicable U.S. export control or sanctions laws. FactFlow may refuse registration or terminate access if eligibility requirements are not met.

Article IV. Accounts

Accounts are personal unless FactFlow expressly authorizes otherwise. Users must maintain accurate information, safeguard credentials, refrain from sharing login credentials, promptly report unauthorized access, and remain responsible for activity under their Account. FactFlow may request identity verification where reasonably necessary and may suspend or terminate compromised or unauthorized Accounts.

Article V. Subscriptions

Certain Services require payment. Subscription pricing, billing frequency, renewal, included features, and Subscription Terms are disclosed at purchase. Unless otherwise disclosed, Subscriptions automatically renew until cancelled. Users authorize FactFlow and its payment processor to charge applicable fees, taxes, and recurring charges.

Promotional pricing and free trials may be subject to additional terms and may convert to paid subscriptions unless cancelled before the trial ends. FactFlow may modify subscription pricing prospectively upon reasonable notice. Users may upgrade or downgrade subscription plans where offered; changes take effect as disclosed at the time of the change.

Except where required by Applicable Law or expressly stated otherwise, subscription fees are non-refundable. Failure to pay may result in suspension or termination of premium Services. Enterprise subscriptions may be governed by separate written agreements.

Article VI. License to Use the Services

6.1 Limited License

Subject to this Agreement and any applicable Subscription, FactFlow grants each User a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for the User's internal, lawful, and intended purposes during the applicable Subscription Term or other authorized period of access.

6.2 Scope of License

The license permits Users to access the website, browser extension, mobile applications, APIs (where authorized), Verification Results, and related functionality only as made available by FactFlow. No rights are granted except those expressly stated in this Agreement.

6.3 License Restrictions

Users shall not, and shall not permit any third party to:

6.4 Open Source and Third-Party Components

Certain components of the Services may be provided under separate open-source or third-party license terms. Those terms govern solely with respect to the applicable component and do not expand the rights granted under this Agreement.

6.5 Updates and Modifications

FactFlow may provide updates, upgrades, patches, bug fixes, security enhancements, or new features. Unless accompanied by separate license terms, such updates become part of the Services and are governed by this Agreement.

6.6 Reservation of Rights

All rights not expressly granted to Users are reserved by FactFlow and its licensors. No implied licenses are created by this Agreement.

Article VII. Browser Extension and Mobile Application Permissions

7.1 Purpose of Permissions

Certain features of the Services require permissions granted by the User through supported browsers or mobile operating systems. FactFlow requests only those permissions reasonably necessary to provide the functionality selected by the User.

7.2 Browser Permissions

Depending upon the features enabled by the User, the browser extension may request permission to access:

Users may deny or revoke permissions at any time through the applicable browser settings. Revocation of permissions may limit or disable certain features of the Services.

7.3 Browser Extension Audio Limitations

The browser extension does not access microphone audio. Browser Tab Audio functionality is limited to the browser tab specifically selected by the User and does not include:

7.4 Mobile Application Permissions

The mobile application may request permissions from supported mobile operating systems that are reasonably necessary to provide application functionality. Permissions requested may vary depending upon device type, operating system, platform requirements, and user-selected features.

The mobile application includes a live-capture feature that, when affirmatively activated by the User, accesses the device microphone to capture audio from ambient broadcasts for real-time claim verification. Mobile Device Audio captured through this feature is processed in real time and is not permanently stored unless the User affirmatively elects to save the Verification Session. Users may revoke microphone permission at any time through their device operating system settings. Users may manage all application permissions through their device settings.

7.5 Future Features

FactFlow may introduce additional features requiring new permissions. Where required by applicable law or platform requirements, Users will be provided an opportunity to grant or deny such permissions before the functionality becomes available.

7.6 Platform Terms

Use of the Services through third-party platforms, including web browsers, application stores, and operating systems, remains subject to the applicable terms, conditions, and policies of those platforms. Nothing in this Agreement modifies or supersedes any rights or obligations imposed by those platform providers.

7.7 Suspension of Functionality

FactFlow may suspend or disable features dependent upon specific permissions where such permissions are unavailable, revoked, or incompatible with supported platforms. Such suspension shall not constitute a breach of this Agreement.

Article VIII. Verification Services

8.1 Purpose of the Services

FactFlow provides technology designed to identify objectively verifiable factual Claims and compare those Claims against publicly available Source Records maintained by governmental agencies, public institutions, academic organizations, established research organizations, statistical authorities, election authorities, courts, legislatures, international organizations, and other Institutional Sources. The Services are intended to assist Users by organizing publicly available information and presenting Verification Results together with supporting citations where reasonably available.

8.2 Verification Results

Verification Results represent the Services' assessment of whether an identified Claim is supported, contradicted, or not presently supported by available Source Records at the time of verification. Verification Results may include classifications such as:

Verification classifications are informational in nature and may change as additional Source Records become available or as the Services are updated.

8.3 Source Records

FactFlow relies upon Source Records obtained from publicly available governmental and institutional publications. FactFlow does not create, edit, or control the underlying Source Records and is not responsible for:

8.4 No Government Affiliation

FactFlow is an independent private technology company. Unless expressly stated, FactFlow is not affiliated with, endorsed by, sponsored by, or acting on behalf of any governmental agency, election authority, court, legislature, public institution, political subdivision, or international organization. References to governmental entities or Source Records are provided solely for verification purposes.

8.5 No Editorial Position

Verification Results are generated through comparison of Claims against available Source Records. FactFlow does not intend Verification Results to endorse, oppose, favor, criticize, promote, or discourage any political candidate, political party, public official, governmental policy, ideology, organization, religion, commercial product, or viewpoint.

8.6 User Responsibility

Users remain solely responsible for evaluating Verification Results and determining how such information should be interpreted or used. Users should independently review cited Source Records before relying upon any Verification Result in making legal, financial, business, governmental, educational, or personal decisions.

8.7 Availability of Verification

Verification capability depends upon numerous factors, including availability of Source Records, quality of submitted content, availability of caption text, browser or device permissions, network connectivity, supported platforms, system capacity, and maintenance activities. FactFlow does not guarantee that every statement, broadcast, publication, or communication can be verified.

8.8 Service Improvements

FactFlow continually refines its verification methodologies, algorithms, data processing techniques, and presentation of Verification Results. Verification Results generated at different times may differ due to updated Source Records, improvements to the Services, or newly available information.

Article IX. Artificial Intelligence and Automated Processing

9.1 Automated Technologies

The Services utilize automated technologies, including machine learning and artificial intelligence provided by third-party infrastructure partners, to assist in identifying Claims, organizing information, locating potentially relevant Source Records, generating Verification Results, presenting citations, and improving the overall functionality of the Services.

9.2 AI-Assisted Outputs

Artificial intelligence is one component of the verification process. Automated outputs may assist in identifying relevant information but do not constitute independent factual authority. Verification Results should not be interpreted as legal conclusions, governmental determinations, judicial findings, scientific consensus, or official statements of any public authority.

9.3 No Human Review Requirement

Except where expressly stated, Verification Results may be generated without human review. FactFlow is under no obligation to manually review, edit, approve, or verify individual Verification Results before they are presented to Users.

9.4 Continuous Improvement

FactFlow may utilize de-identified operational information, system performance metrics, error reports, and verification analytics to improve automated technologies and the quality of the Services, subject to applicable law and the Privacy Policy. FactFlow does not use User Content to train third-party machine learning models.

9.5 No Professional Advice

The Services do not provide legal advice, accounting advice, investment advice, tax advice, medical advice, engineering advice, scientific opinions, or any other professional services. Users should consult qualified professionals regarding matters requiring professional judgment.

Article X. User Content

10.1 Ownership

Users retain ownership of User Content submitted through the Services. Nothing in this Agreement transfers ownership of User Content to FactFlow.

10.2 License Granted to FactFlow

By submitting User Content through the Services, Users grant FactFlow a worldwide, non-exclusive, royalty-free, transferable (solely in connection with a corporate transaction), sublicensable (to service providers acting on FactFlow's behalf) license to host, reproduce, process, transmit, display, analyze, store, adapt, and otherwise use such User Content solely as reasonably necessary to:

This license terminates with respect to User Content when such content is deleted from FactFlow's systems, except to the extent retention is authorized or required under the Privacy Policy or applicable law.

10.3 User Representations

Users represent and warrant that they possess all rights necessary to submit User Content through the Services and that such submission does not violate applicable law, contractual obligations, intellectual property rights, privacy rights, publicity rights, or any other rights of third parties.

10.4 Prohibited Content

Users shall not submit User Content that is unlawful, infringes intellectual property rights, contains malicious software, facilitates fraud or criminal activity, contains defamatory material prohibited by applicable law, unlawfully discloses confidential information, violates the rights of others, or otherwise violates this Agreement.

10.5 Removal of Content

FactFlow reserves the right, but assumes no obligation, to remove, disable access to, or refuse to process User Content that FactFlow reasonably believes violates this Agreement, applicable law, or the rights of others.

Article XI. Intellectual Property Rights

11.1 Ownership of the Services

The Services, including all software, source code, object code, algorithms, models, databases, interfaces, user interfaces, designs, graphics, compilations, documentation, text, logos, trademarks, service marks, trade dress, audiovisual works, website content, browser extensions, mobile applications, APIs, Verification Results, compilations of Source Records, and all related technology are owned by or licensed to FactFlow and are protected by United States and international intellectual property laws. Except for the limited license expressly granted under this Agreement, no ownership interest or intellectual property rights are transferred to any User.

11.2 FactFlow Marks

The names "FactFlow," the FactFlow logo, product names, service names, slogans, and related branding are trademarks or service marks of FactFlow or its licensors. Nothing contained in this Agreement grants any license to use any trademark, logo, or branding without FactFlow's prior written consent.

11.3 Verification Results

Verification Results, including classifications, citations, formatting, presentation, organization, and visual displays, are proprietary components of the Services. Nothing in this Agreement grants Users ownership of the underlying software, methodologies, or presentation used to generate Verification Results.

11.4 Feedback

Users may voluntarily submit comments, suggestions, ideas, enhancement requests, feature proposals, bug reports, or other feedback regarding the Services. By submitting Feedback, Users grant FactFlow a perpetual, worldwide, irrevocable, royalty-free, fully paid, transferable, sublicensable license to use, modify, publish, commercialize, and otherwise exploit such Feedback without restriction or compensation. FactFlow is under no obligation to implement any Feedback.

11.5 Reservation of Rights

All rights not expressly granted under this Agreement are reserved by FactFlow and its licensors.

Article XII. Acceptable Use Policy

12.1 Lawful Use

Users shall use the Services only for lawful purposes and in accordance with this Agreement.

12.2 Prohibited Activities

Users shall not directly or indirectly:

Users shall not manipulate Verification Results through false Claims, abusive automated testing, coordinated abuse, or interference with Source Record comparisons.

12.4 Compliance Investigations

FactFlow may investigate suspected violations of this Agreement. Users agree to reasonably cooperate with lawful investigations relating to misuse of the Services.

12.5 Enforcement

FactFlow may remove User Content, suspend functionality, restrict Accounts, terminate access, report unlawful conduct, or pursue any available legal remedy. Nothing in this Agreement obligates FactFlow to monitor User activity.

Article XIII. Third-Party Services

13.1 Third-Party Platforms

The Services may interact with or rely upon third-party websites, browsers, operating systems, cloud infrastructure, payment processors, governmental databases, institutional publications, application stores, and other external services. Such services operate independently of FactFlow.

13.2 No Responsibility for Third Parties

FactFlow does not control and is not responsible for third-party websites, browser providers, application stores, governmental publications, institutional databases, payment processors, telecommunications providers, or internet service providers. Availability, accuracy, performance, and security remain the responsibility of those providers.

13.3 Third-Party Terms

Use of third-party services may be governed by separate agreements, privacy policies, and terms established by the applicable provider. Users remain responsible for complying with those terms.

13.4 External Links

The Services may provide links to external resources solely for convenience or to identify supporting Source Records. FactFlow does not endorse or assume responsibility for third-party content accessed through external links.

13.5 Service Interruptions

FactFlow shall not be liable for interruptions, delays, inaccuracies, or service failures resulting from third-party systems beyond FactFlow's reasonable control.

Article XIV. Copyright Policy

14.1 Respect for Intellectual Property

FactFlow respects the intellectual property rights of others and expects Users to do the same. Users shall not use the Services in any manner that infringes copyrights, trademarks, trade secrets, patents, or other proprietary rights.

14.2 Digital Millennium Copyright Act

FactFlow intends to comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512. If you believe material available through the Services infringes your copyright, you may submit a written notification containing substantially the following information:

DMCA notices shall be directed to FactFlow's designated Copyright Agent at the contact information provided at the end of this Agreement.

14.3 Counter Notification

If material is removed or disabled in response to a copyright notification, the affected User may submit a counter notification as permitted under applicable copyright law. FactFlow reserves all rights provided under the DMCA.

14.4 Repeat Infringers

Where appropriate, FactFlow may suspend or terminate the Accounts of Users who repeatedly infringe the intellectual property rights of others.

Article XV. Suspension and Termination

15.1 Suspension

FactFlow may immediately suspend or restrict access to all or any portion of the Services where FactFlow reasonably believes that this Agreement has been violated, unauthorized access has occurred, fraud or abuse is suspected, security risks exist, continued operation may expose FactFlow or others to liability, or suspension is necessary to comply with applicable law.

15.2 Termination by User

Users may terminate their Account at any time by following the account cancellation procedures made available through the Services. Termination does not relieve the User of any payment obligations accrued before termination.

15.3 Termination by FactFlow

FactFlow may terminate this Agreement or suspend access to the Services at any time where the User materially breaches this Agreement, payment obligations remain outstanding, the User engages in unlawful conduct, continued access threatens the security or integrity of the Services, or FactFlow permanently discontinues the applicable Service.

15.4 Effect of Termination

Upon termination, the license granted under this Agreement immediately terminates, access to the Services may cease, and FactFlow may deactivate or delete Account information in accordance with the Privacy Policy. Provisions that by their nature should survive termination shall remain enforceable.

15.5 Survival

The following Articles survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, Arbitration, Class Action Waiver, Jury Trial Waiver, Miscellaneous, and any provision reasonably intended to survive.

Article XVI. Disclaimers of Warranties

The Services are provided on an "as is," "as available," and "with all faults" basis. To the maximum extent permitted by law, FactFlow disclaims all warranties, whether express, implied, statutory, or otherwise.

16.2 No Warranty of Accuracy

FactFlow does not warrant that: (a) every Claim can be verified; (b) every Verification Result is free from error; (c) all Source Records are complete; (d) governmental or institutional records are current; (e) third-party information is accurate. Verification Results represent informational outputs generated from available Source Records at a particular point in time.

16.3 No Warranty of Availability

FactFlow does not warrant that the Services will be uninterrupted, error free, secure, available at all times, or free from harmful components.

16.4 No Professional Advice

The Services do not provide legal, medical, accounting, engineering, tax, investment, scientific, or other professional advice. Users are responsible for exercising their own judgment and consulting appropriate professionals where necessary.

16.5 Third-Party Information

FactFlow makes no warranty regarding the accuracy, completeness, or continued availability of information obtained from governmental agencies, public institutions, third-party providers, or other external sources.

Article XVII. Limitation of Liability

17.1 Exclusion of Damages

To the maximum extent permitted by applicable law, FactFlow, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive damages, loss of profits, loss of business opportunity, loss of data, loss of goodwill, business interruption, or cost of substitute services arising from or relating to the Services or this Agreement, regardless of the theory of liability.

17.2 Liability Cap

To the maximum extent permitted by law, FactFlow's total cumulative liability arising out of or relating to this Agreement shall not exceed the greater of: (a) the total amount paid by the User to FactFlow during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100.00).

17.3 Essential Basis

The parties acknowledge that the limitations contained in this Agreement are fundamental elements of the bargain between the parties and that FactFlow would not provide the Services on the same terms absent such limitations.

17.4 Jurisdictional Limitations

Some jurisdictions do not permit certain warranty disclaimers or limitations of liability. Accordingly, portions of this Article shall apply only to the extent permitted by applicable law.

Article XVIII. Indemnification

18.1 User Indemnification

To the fullest extent permitted by law, Users agree to defend, indemnify, and hold harmless FactFlow, its affiliates, officers, directors, employees, contractors, licensors, successors, assigns, and agents from and against any claims, demands, actions, proceedings, damages, liabilities, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) the User's use of the Services; (b) User Content; (c) violation of this Agreement; (d) violation of applicable law; (e) infringement or alleged infringement of the rights of any third party; or (f) fraud, misconduct, or negligent acts or omissions by the User.

18.2 Defense of Claims

FactFlow reserves the right to assume the exclusive defense and control of any matter subject to indemnification at the User's expense. Users agree to reasonably cooperate in the defense of such claims.

18.3 No Settlement Without Consent

Users shall not settle any claim subject to indemnification in a manner that imposes liability or obligations upon FactFlow without FactFlow's prior written consent.

Article XIX. Governing Law

19.1 Delaware Law

This Agreement, the Services, all Subscriptions, all transactions between the parties, and any dispute arising out of or relating to this Agreement or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

19.2 Federal Arbitration Act

The Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of the arbitration provisions contained in this Agreement. To the extent state law is applicable, Delaware law shall govern.

19.3 Uniform Interpretation

This Agreement shall be interpreted to promote uniform enforcement of its provisions to the fullest extent permitted by applicable law.

Article XX. Mandatory Binding Arbitration

20.1 Agreement to Arbitrate

Except for matters expressly excluded below, the parties agree that any dispute, controversy, or claim arising out of or relating to this Agreement, the Services, Verification Results, Accounts, Subscriptions, privacy practices, intellectual property, or any transaction between the parties shall be resolved exclusively through final and binding arbitration.

20.2 Arbitration Administrator

Unless otherwise agreed in writing, arbitration shall be administered by the American Arbitration Association ("AAA") under the applicable Commercial Arbitration Rules or Consumer Arbitration Rules then in effect, as appropriate. If AAA is unavailable or unwilling to administer the arbitration, the parties shall mutually agree upon another nationally recognized arbitration provider.

20.3 Seat of Arbitration

The legal seat and place of arbitration shall be Wilmington, Delaware. Unless otherwise agreed by the parties or ordered by the arbitrator, arbitration hearings may occur remotely by videoconference or other electronic means.

20.4 Arbitrator

The arbitration shall be conducted before one neutral arbitrator. The arbitrator shall possess authority to award any remedy available under applicable law except where expressly limited by this Agreement.

20.5 Confidentiality

To the extent permitted by law, arbitration proceedings, filings, testimony, evidence, and awards shall remain confidential except where disclosure is necessary to enforce an arbitration award, comply with applicable law, satisfy regulatory obligations, or protect legal rights.

20.6 Exceptions

The following disputes are not required to be arbitrated: (a) claims properly filed in small claims court; (b) actions seeking injunctive relief relating to intellectual property, confidential information, trade secrets, or unauthorized access; and (c) actions where arbitration cannot legally be required. Any permitted court proceeding shall be brought exclusively in the courts identified in Article XXIII.

20.7 Survival

This arbitration agreement survives termination of this Agreement and the User's use of the Services.

Article XXI. Class Action Waiver

To the fullest extent permitted by law, all disputes shall be resolved solely on an individual basis. Neither FactFlow nor any User shall participate in class actions, class arbitrations, representative actions, private attorney general actions, or consolidated proceedings except where prohibited by applicable law.

Article XXII. Jury Trial Waiver

To the fullest extent permitted by law, each party knowingly, voluntarily, and irrevocably waives any right to trial by jury in any judicial proceeding arising out of or relating to this Agreement or the Services.

Article XXIII. Exclusive Judicial Venue

Where a dispute is not subject to mandatory arbitration, or where judicial proceedings are necessary to enforce an arbitration award or obtain injunctive relief, the parties consent to the exclusive jurisdiction of the state courts of Delaware and the United States District Court for the District of Delaware and waive objections based on venue or forum non conveniens.

Article XXIV. Miscellaneous

24.1 Entire Agreement

These Terms, together with all documents expressly incorporated by reference, constitute the entire agreement between FactFlow and the User regarding the Services and supersede all prior discussions, proposals, negotiations, representations, and agreements concerning the same subject matter.

24.2 Order of Precedence

If an executed written enterprise agreement conflicts with these Terms, the executed agreement controls only as to the conflicting provisions.

24.3 Amendments

FactFlow may amend these Terms in accordance with applicable law. Continued use of the Services after an effective amendment constitutes acceptance where legally permitted.

24.4 Waiver

No waiver is effective unless in writing. Delay or failure to enforce any provision is not a waiver of future enforcement.

24.5 Severability

If any provision is held invalid or unenforceable, it shall be modified only as necessary and the remaining provisions remain in effect.

24.6 Judicial Reformation

Any unenforceable provision may be judicially reformed to preserve the parties' original commercial intent to the maximum extent permitted by law.

24.7 Assignment

Users may not assign this Agreement without written consent. FactFlow may assign it in connection with mergers, acquisitions, financing, or asset sales.

24.8 Successors

This Agreement binds permitted successors and assigns.

24.9 No Third-Party Beneficiaries

No person other than the parties obtains rights under this Agreement unless expressly provided.

24.10 Independent Contractors

The parties are independent contractors. No partnership, agency, employment, fiduciary, or joint venture relationship is created.

24.11 Force Majeure

Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, utility failures, Internet outages, governmental actions, epidemics, cyber incidents, or failures of third-party providers.

24.12 Notices

Required notices may be delivered electronically or by other designated means and are effective when transmitted unless applicable law requires otherwise.

24.13 Electronic Communications

The User consents to receive legally required notices electronically.

24.14 Electronic Signatures

Electronic signatures and electronic acceptance are binding to the fullest extent permitted by law.

24.15 Interpretation

Headings are for convenience only. "Including" means "including without limitation." Singular includes plural where appropriate.

24.16 Survival

Provisions relating to intellectual property, confidentiality, payment obligations, indemnification, disclaimers, limitations of liability, dispute resolution, and this Article survive termination.

24.17 Cumulative Remedies

All remedies are cumulative unless expressly stated otherwise.

24.18 Equitable Relief

FactFlow may seek injunctive or equitable relief for actual or threatened misuse of the Services or infringement of its intellectual property where monetary damages are inadequate.

24.19 Export Controls

Users shall comply with all applicable export control and sanctions laws and shall not use the Services in violation of such laws.

24.20 Compliance With Laws

Each party shall comply with applicable laws relating to its performance under this Agreement.

24.21 No Reliance

The User acknowledges that it has not relied upon representations outside this Agreement.

24.22 Reserved Rights

All rights not expressly granted are reserved by FactFlow and its licensors.

24.23 Continuing Review

FactFlow may periodically review and update these Terms to reflect legal, operational, technological, or business changes.

By accessing or using the Services, creating an Account, installing a FactFlow browser extension, purchasing a Subscription, or otherwise using the Services, you acknowledge that you have read this Agreement, understand it, and agree to be legally bound by its terms.
